can you enter a contract that protects you from suffering from a partners neglegence in a buisness? is there a formal name for this type of protection?

You might want to look into liability insurance !!

D&O Insurance is "Directors and Officers Insurance" While it won't insure poor business decisions, it will protect directors and officers from being sued individually / personally by unhappy business partners.

But i wonder if this insurance pays off if it can be proven there is fraud involved or even negligence.....? I would hope not.....takes away the incentive of keeping them honest

I'm not exactly sure how they're written. However fraud's disincentive is criminal charges and penalties. There's no insurance that can protect you from that.
